Terms of Service

These Terms of Service ("Terms") govern your access to and use of TaxSphere (the "Service"), operated by Write Right Stylus LLC ("TaxSphere," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What TaxSphere Is — and Is Not
TaxSphere is software that helps you map how your tax data moves through your systems, documents the process, identifies fragile parts, and coaches you through improving it yourself.
TaxSphere does not provide tax, legal, accounting, or financial advice. The Service documents processes and produces informational findings based on the answers you provide. It does not compute tax, prepare returns, or tell you how to treat any item for tax purposes. Any findings, suggestions, or coaching are informational only. You remain solely responsible for your own tax positions, filings, calculations, and compliance, and for reviewing any work you perform using the Service. You should consult a qualified professional before relying on anything produced with the Service.
2. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity under your account. Notify us promptly of any unauthorized use.
3. Subscriptions, Billing, and Renewal
Plans and fees. Access to paid features requires a subscription. Current plans and prices are shown at signup and on our website. We may change prices; changes apply to your next billing cycle, and we will give reasonable notice.
Billing. Subscriptions are billed in advance through our third-party payment processor, [Stripe]. By subscribing, you authorize us to charge your payment method for the applicable fees.
Auto-renewal. Subscriptions automatically renew at the end of each billing period (monthly or annual, as selected) at the then-current price, unless you cancel before the renewal date.
Cancellation. You may cancel at any time through your account settings or the billing portal. Cancellation stops future renewals. Your access continues until the end of the current paid period.
Refunds. [Choose and state your policy clearly. Example: "Monthly fees are non-refundable. Annual plans may be refunded on a pro-rata basis within [30] days of the initial charge. We do not provide refunds for partial periods after that."]
Failed payments. If a payment fails, we may retry the charge and may suspend or downgrade your access until payment is resolved.
Taxes. Stated prices exclude any applicable sales, use, or similar taxes, which you are responsible for unless we are required to collect them.
4. Your Content
"Your Content" means the blueprints, process maps, labels, notes, and other material you create in the Service. You retain all rights to Your Content. You grant us a limited license to host, store, and process Your Content solely to provide and improve the Service.
You are responsible for what you put into the Service. You agree not to enter into the Service any client financial data, trial-balance figures, personally identifiable taxpayer information, or other sensitive data — the Service is designed to map processes, not to hold financial data, and you should describe your process without importing the underlying numbers.
5. Acceptable Use
You agree not to: (a) use the Service to violate any law; (b) reverse engineer, copy, or resell the Service except as allowed by law; (c) attempt to gain unauthorized access to the Service or other users' data; (d) interfere with or disrupt the Service; (e) use automated means to access the Service in a way that burdens our infrastructure; or (f) use the Service to build a competing product.
6. Intellectual Property
The Service, including its software, design, rules, and content (excluding Your Content), is owned by Write Right Stylus LLC and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. We reserve all rights not expressly granted.
7. Third-Party Services
The Service relies on third-party providers (for example, hosting, authentication, and payment processing). We are not responsible for third-party services, and your use of them may be subject to their own terms.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY FINDING OR OUTPUT IS ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES. YOU ASSUME FULL RESPONSIBILITY FOR YOUR USE OF THE SERVICE AND ANY DECISIONS MADE BASED ON IT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Write Right Stylus LLC AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE — INCLUDING ANY TAX PENALTY, INTEREST, FILING ERROR, OR COMPLIANCE CONSEQUENCE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE [TWELVE (12)] MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless Write Right Stylus LLC from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms or any law.
11. Suspension and Termination
We may suspend or terminate your access if you violate these Terms or if required by law. You may stop using the Service at any time. On termination, your right to use the Service ends; sections that by their nature should survive (including Sections 1, 6, 8, 9, 10, and 12) will survive.
12. Governing Law and Disputes
